Welcome to Interwebsdeveloment! These Terms and Conditions govern your use of our services and outline the agreement between you (the “Client”) and us (the “Agency”). By engaging our services, you agree to comply with these Terms.
1. Definitions
1.1. Services: Web design, development, and related services provided by the Agency.
1.2. Deliverables: The final product(s) resulting from the Services, such as websites, applications, or digital assets.
1.3. Agreement: The contract formed between the Agency and the Client, including these Terms and any accompanying documents.
2. Scope of Services
2.1. The Agency will provide the Services as agreed upon in the project proposal or contract.
2.2. Any changes to the scope of work must be agreed upon in writing and may incur additional fees.
3. Fees and Payment
3.1. Pricing: The fees for Services will be outlined in the project proposal or invoice.
3.2. Payment Terms:
A [percentage, e.g., 50%] deposit is required before work begins.
The remaining balance is due upon project completion or as per the agreed payment schedule.
3.3. Late Payments: Payments not received within one week of the due date may incur a late fee of double the original price agreed on.
4. Client Responsibilities
4.1. Provide all necessary content, materials, and approvals promptly to avoid delays.
4.2. Ensure that all provided content complies with copyright laws and does not infringe on third-party rights.
4.3. Respond to the Agency’s queries and feedback requests within a reasonable time.
5. Intellectual Property
5.1. Ownership:
The Client retains ownership of all content they provide to the Agency.
The Agency retains ownership of any pre-existing tools, frameworks, or intellectual property used in the project that were not specifically developed for the Client.
5.2. Ownership of Deliverables:
Upon receipt of full payment, the Client will gain ownership rights to the Deliverables, except for any third-party components, software, or pre-existing intellectual property used or integrated into the project.
6. Revisions and Approvals
6.1. The project includes 2 rounds of revisions. Additional revisions will incur extra fees.
6.2. The Client must approve each project phase in writing before the next phase begins.
7. Warranty and Support
7.1. Limited Warranty:
The Agency warrants that the Deliverables, including the WordPress website, will function as described at the time of delivery and for a period of 30 days thereafter (the “Warranty Period”), provided no modifications, updates, or changes are made to the website, its plugins, or WordPress during this period.
7.2. Warranty Limitations:
The warranty does not cover issues arising from:
Plugin updates, WordPress core updates, or third-party software changes.
Modifications or alterations made to the website by the Client or third parties.
Server or hosting environment changes or issues unrelated to the Deliverables.
7.3. Support and Maintenance:
Post-Warranty Period support, including updates to plugins, WordPress core, or troubleshooting issues arising from updates, will be billed at the Agency’s standard hourly rate.
The Agency recommends maintaining a regular backup schedule and monitoring plugin and WordPress updates to mitigate risks.
7.4. Optional Maintenance Plan:
The Agency offers an optional maintenance plan for ongoing updates, monitoring, and support at a fixed monthly or annual rate. Details of this plan are available upon request.
8. Cancellation and Termination
8.1. Either party may terminate the Agreement by providing a written notice.
8.2. The Client is responsible for payment of all work completed up to the termination date.
8.3. The Agency reserves the right to terminate the Agreement for non-payment or breach of these Terms.
9. Limitation of Liability
9.1. The Agency is not liable for:
Losses caused by third-party tools or hosting providers.
Indirect, incidental, or consequential damages.
9.2. The Agency’s liability is limited to the total fees paid by the Client.
10. Confidentiality
10.1. Both parties agree to keep confidential any proprietary or sensitive information shared during the project.
11. Third-Party Services
11.1. The Agency may recommend or integrate third-party tools or services.
11.2. The Client is responsible for any costs or agreements associated with third-party services.
12. Governing Law and Dispute Resolution
12.1. These Terms are governed by the laws of the State of Wisconsin, Dane County, without regard to its conflict of law principles.
12.2. Disputes will first be resolved through good-faith negotiations between the parties. If a dispute cannot be resolved through negotiation within [30] days, the dispute may be referred to [arbitration/mediation] in accordance with the rules of [specify arbitration/mediation body, e.g., the American Arbitration Association (AAA)].
12.3. The location for any arbitration or mediation will be Madison, Wisconsin, and the language of the proceedings will be English.
13. Amendments
13.1. The Agency reserves the right to update these Terms at any time. Changes will be communicated to the Client in writing.
